1. Agreement to Terms
By accessing or using the services provided by Heliopsy Ltd ("Heliopsy," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Services Description
Heliopsy provides cybersecurity, DevSecOps, IT consulting, software development, and related professional services. The specific scope of services will be defined in individual service agreements or statements of work.
3. Use of Services
3.1 Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms to use our services.
3.2 Account Responsibilities
If you create an account with us, you are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
3.3 Prohibited Activities
You agree not to:
- Use our services for any illegal purpose
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt our services
- Transmit viruses, malware, or other harmful code
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights
4. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by Heliopsy or its licensors and are protected by intellectual property laws.
Work products created specifically for clients under service agreements will be subject to the intellectual property provisions in those agreements.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of services. Specific confidentiality terms will be outlined in individual service agreements or non-disclosure agreements.
6. Payment Terms
Payment terms for services will be specified in individual service agreements. Unless otherwise agreed:
- Invoices are due within 30 days of the invoice date
- Late payments may be subject to interest charges
- Services may be suspended for non-payment
7. Warranties and Disclaimers
7.1 Service Warranties
We will provide services with reasonable skill and care. Specific warranties for particular services will be outlined in service agreements.
7.2 Disclaimers
To the maximum extent permitted by law, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, Heliopsy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Heliopsy and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of our services or violation of these Terms.
10. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will immediately cease.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or our services shall be resolved through binding arbitration, except where prohibited by law.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
